NP Search — Terms of Service

This agreement is between YCY CONSULTING AND INVESTMENT SL (NIF B22450688), a Sociedad Limitada registered in Spain and trading as Neuroplugin ("we"), and the Shopify merchant that installs NP Search ("you"). By installing, you accept these terms.

1. License

Limited, non-exclusive, non-transferable, revocable right to use NP Search on Shopify stores you own. You may not resell, reverse-engineer, or build a competing product using it.

2. Plans & billing

Free ($0): all product-search, merchandising, layout, filter, AI-ranking and analytics features, with up to 1,000 committed unique shopper searches in each rolling 30-day window.
Pay as you grow: all features, billed at USD $1 per month plus USD $0.002 for each committed unique shopper search (equivalent to USD $1 per 500 searches).

A committed unique shopper search is one submitted text, voice, or successfully processed image-search intent with a unique search identifier. Autocomplete keystrokes and previews, filters, sorting, pagination, retries, zero-result recovery, discovery shelves, and searches run inside the merchant's Search Lab do not create additional billable searches. Product count does not determine the price.

When the Free allowance is reached, keyword-search continuity, rules, redirects, filters, and the chosen storefront layout remain available; compute-heavy semantic ranking, learning-to-rank, image search, and related-product enrichment pause until usage falls below the rolling allowance or you choose Pay as you grow. Paid merchants can set an app-level spending alert or continuity guard. When the guard is configured to limit usage and is reached, the same continuity mode applies. Shopify remains the system of record for charges and invoices.

Paid usage is billed in USD through Shopify. You can cancel or change plan through Shopify subject to Shopify's billing rules. Merchants already subscribed to a legacy fixed-price Starter, Pro, or Plus plan remain on that plan unless they explicitly switch to usage pricing.

3. Your responsibilities

You're responsible for the legality of what you sell, for posting your own store's privacy policy, and for not using merchandising rules in a way that deceives consumers.

4. Our responsibilities

99.5% uptime SLA (30-day rolling). Breach notifications within 72 hours. We never modify your catalog without explicit action.

5. Intellectual property

NP Search code, models, and docs are ours. Your product data and configuration are yours — we only license what's needed to operate the app.

6. Warranty disclaimer

Provided "as is". Search quality is probabilistic; we don't guarantee any specific query returns any specific product.

7. Liability limit

Our total liability is capped at the greater of (a) fees paid in the last 12 months, or (b) USD $100. No indirect, consequential, or punitive damages. Gross negligence / willful misconduct exceptions apply where local law requires.

8. Termination

You can uninstall any time. We may terminate for breach or if we sunset the app (with 30 days' notice + data export). Data deleted within 48 hours of uninstall.

9. Governing law

Spain; exclusive jurisdiction in the courts of Madrid, Spain. Consumer-protection rights under local law are preserved.
